1. Introduction
i. By signing up to be an affiliate in theluckydrinker.com Affiliate Program (the “Program”) you agree to be bound by the following terms and conditions (the “Terms”). Please ensure that you read them carefully before signing up. These Terms are a legal agreement between theluckydrinker.com ltd is registered in England & Wales company number: 12912196 VAT Reg No: GB374404304 (“theluckydrinker.com”, “we”, “us” , “website”) and You (the “Affiliate”, “you”). This theluckydrinker.com Affiliate Program is part of and subject to the theluckydrinker.com Terms of Use.
ii. By using, accessing or signing-up to the Website or using our Services, you agree to be bound by these Terms
iii. We reserve the right to update and change the Terms from time to time without notice. Any amendments, modifications, enhancements or changes to the Program including the release of new features and resources made available by us from time to time shall be subject to these Terms. Continued use of the Program after any such changes shall constitute your consent to such changes.
iv. If we make major changes to the Website, Terms or our policies, to be decided at our discretion, we will aim to provide you with prior written notice as appropriate under the circumstances.
v. If the proposed changes will adversely affect you or mean that you need to make substantial technical or commercial adjustments, please notify us in order to discuss your circumstances.
vi. If you do not agree to any changes or revisions to the Terms, our policies or the Website, you are at liberty to terminate your account in accordance with the termination provisions set out in these Terms.
vii. Your continued use of the Website, its features and functionality is deemed to be your acceptance of the revised Terms.
viii. When you visit the Website or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on the Website.
ix. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
x. Any violation of these Terms may result in, among other things, termination or suspension of your rights to be an Affiliate and forfeiture of any outstanding affiliate referral fee payments earned during the violation.

ii. theluckydrinker.com is an online marketplace that allows users to offer, list, sell and/or buy equipment and products related to the catering industry (the “Services”). These include, but are not limited to, glassware, bar equipment, tableware, kitchenware, consumables and reusables, janitorial and sanitation products, appliances, furniture, clothing, aprons & footwear and hotel supplies in a variety of pricing formats and locations.

3. Account Registration
i. To sign up for an Affiliate account (“account”), you must provide your legal full name, a valid email address, valid bank account and any other required information present on the registration form.
ii. You must be at least 18 years old to participate in this program.
iii. Each account is intended for use by a single legal entity, and we do not allow you to share your user name and password with another person or multiple users on the network. You are responsible for the security of any user names and passwords issued.
iv. The Program may not be used for any unauthorized or unlawful purposes. You agree not to break any laws in your jurisdiction while using the Program, including copyright laws.
v. Any Application may be accepted or rejected at our sole discretion. If we determine in our sole discretion that you are unsuitable for the Program for any reason, your application will be rejected. If your application is not accepted, you may reapply for the Program at any time; however, you should not link to us until you have been approved.

4. Referral Links & Promotion
i. Following your Program registration, you will receive a URL link that you must use to identify yourself whenever you link to theluckydrinker.com website from your website, email, or other correspondence. It is your duty to make sure every one of these links is formatted correctly.
ii. The “Referral Link/Code,” which we create specifically for every Affiliate, is available on the program page once you sign up.
iii. We might also offer graphic images that can be used to advertise theluckydrinker.com inside the links. These pictures cannot be altered in any way. We keep the right to alter the pictures whenever we want, without prior notice.
iv. Unless we have granted our prior written consent, you are not permitted to use our name or any of our graphics in any kind of bulk email. If your marketing efforts result in any significant spam complaints mentioning us or our services, we reserve the right to terminate the Agreement.
v. Regarding this Agreement or your involvement in the Program, you may not make any press releases; failing to do so could lead to your removal from the Program. Furthermore, unless specifically allowed by this Agreement, you may not in any way misrepresent or embellish the relationship between us and you, say you develop our services, claim to be a part of theluckydrinker.com, or express or imply any relationship between us and you or any other person or entity.
vi. The Affiliate will be solely responsible for his/her own marketing activities. All activities must be professional and be fully compliant with all applicable laws.

5. Fees and Benefits
i. “Affiliate Benefits” means all the rewards, commission, bonus and any other form of benefits you may earn in this Program.
ii. Customers must click through a link from your website, email, social media account, or other correspondence to the luckydrinker.com website and sign up within 90 days of the initial click-through in order for the sale of a subscription to qualify for a referral fee. You won’t get paid for referring them if they don’t sign up within those ninety days and then come back without clicking on your link.
iii. Referral fees are only payable for links that our systems automatically track and report. The visitor needs to have cookies enabled in order for our systems to track the referral. If someone claims they signed up through you but our system did not record it, we will not pay referral fees.
iv. The referral fee starts at 1.5% of our net revenue excluding VAT and shipping charges from customers that you refer. On specific products and based on your affiliate role can go up to 20%.  After the client pays for their subscription and/or product, the referral fee will be credited to your Affiliate account. Only when a customer pays in full can referral fees be obtained.
v. Affiliate’s opinions and experiences should always be genuine and honest in their statements. We do, however, ask that all blog posts, Facebook updates, tweets, and/or comments be considerate of others and free of offensive language, bigotry, or discriminatory content against any person on the basis of their race, gender, religion, nationality, disability, sexual orientation, or age.
vi. Affiliate should only cite information about the features or qualities of Sponsor or Sponsor’s product that Affiliate can independently verify as fact. For instance, unless Affiliate has evidence to support such claims, Affiliate should refrain from making statements regarding a product’s performance.

6. Payment
i. Approximately once a month, and only when your accrued referral fees reach £1 or more, unless otherwise stated, your commissions are paid to you via bank transfer. To receive referral fees, you need to have a working bank account since we do not accept payments by cash, credit card, check, or other means.
ii. Referral fees are not applicable to customer payments that are reimbursed or that are charged back as a result of credit card fraud. Referral fee crediting may be delayed pending the completion of risk assessments and anti-money laundering procedures.
iii. The referral fee structure is subject to change at our discretion.
iv. Referral fees obtained by dishonest, unlawful, excessively forceful, or dubious sales or marketing strategies are subject to disqualification at our discretion.
v. All fees are your responsibility and must be paid by you; they are not inclusive of any taxes, levies, assessments, or other fees of any kind imposed on your participation in this Agreement.
vi. The email notification is merely a notification and should not be construed as a confirmation of a commission; all payments are subject to verification based on actual transactions. We reserve the right to review and adjust commissions based on orders that have been paid for.
vii. Cancellation, refund, or return of a Qualifying Purchase, in whole or in part, may result in the cancellation and forfeiture of the Commission associated with that purchase. You are obligated to reimburse theluckydrinker.com for the amount if you have withdrawn the Commission.

7. Disclosure
i. Affiliate’s “material connections” with the Sponsor, including the fact that Affiliate received compensation for a specific service or was given any consideration from the Sponsor, must be made explicit when posting about theluckydrinker.com products or services. When customers read/watch Affiliate’s posts, videos, or blogs, they should be able to easily and visibly see this disclosure. This implies that the disclaimer shouldn’t be tucked away in the Terms and Conditions, at the bottom of the video, or behind links (or in documents similar to those). Furthermore, it should not be necessary for the customer to mouse over, scroll down, or click on a link in order to view the disclosure.
ii. This also implies that the disclosure shouldn’t be tucked away in a “jumble of hashtags” or beneath the “more” button, where readers are unlikely to glance. Take into account the following when choosing where to place a disclosure:
iii. Hashtags like #sponsored, #paid, or #ad can be used on social media to disclose content.
iv. Visual disclosures need to be prominently displayed and remain visible on the screen for a sufficient amount of time to be observed, read, and comprehended.

8. Term of the Agreement and Program
i. This Agreement’s duration will start when we accept your application for the Program and end when either party terminates it. This Agreement may be terminated at any time, with or without cause, by either you or us by providing the other party with notice of termination. Email notice sent to the address we have on file for you is deemed adequate notice of termination of this Agreement.
ii. Theluckydrinker.com reserves the right, at any time and for any reason, to suspend or terminate your account, deny you access to the Program or any other theluckydrinker.com service, and to refuse your use of the Program going forward. Your Affiliate Account will be deactivated or deleted upon this termination, and any potential or accrued referral fees in your Account will be forfeited and relinquished if they were obtained through dubious, fraudulent, or unduly aggressive sales or marketing techniques. Theluckydrinker.com maintains the right to reject any customer at any time for any reason.
iii. In the event that this Agreement is terminated for any reason, you will promptly stop using the theluckydrinker.com website and remove all of our images and other materials that were provided as part of the Program from your website.
iv. If you impersonate our official account on any social media platform, use “theluckydrinker.com” or any of our trademarks, logos, slogans, or other intellectual property without our permission, or if you provide false or inaccurate information about the social media accounts you provide for the Program, we may terminate your participation in the program.

9. Limitations of Liability
i. It is entirely your responsibility to make sure that all applicable copyright, trademark, and other laws are followed by your product descriptions, reviews, and articles (if applicable) on your website. Theluckydrinker.com disclaims all liability for illegal use of another party’s copyrighted or trademarked content.
ii. Nothing in this Agreement will establish a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and us. You and we are independent contractors. You won’t be able to represent us or make or accept any offers or statements. You promise not to say anything on your website or elsewhere that could be interpreted as going against anything in this agreement.
iii. The Company disclaims all liability and responsibility for any amount or kind of loss or damage that may be incurred by you or a third party as a result of this Program, including but not limited to any direct, indirect, punitive or consequential loss or damages, as well as any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, whether in tort (including without limitation negligence), contract, or otherwise.

10. Force Majeure
i. If we are unable to perform our obligations to you (or able to perform them only at unreasonable cost) because of circumstances beyond our control, we may cancel or suspend any of our obligations to you, without liability.
ii. Examples of those circumstances include act of God, accident, explosion, war, terrorism, fire, flood, transport delays, strikes and other industrial disputes and difficulty in obtaining supplies.

11. Waiver
i. Any waiver or variation of these terms is binding in honour only unless: Made (or recorded) in writing;
ii. Signed on behalf of each party; and
iii. Expressly stating an intention to vary these terms.
iv. All orders that you place with us will be on these terms (or any that we may issue to replace them). By placing an order with us, you are expressly waiving any printed terms you may have to the extent that they are inconsistent with our terms.

12. Governing law and Jurisdiction
i. English law is applicable to any contract made under these terms. The English and Welsh courts have non-exclusive jurisdiction.
